1. Acceptance of Terms

By creating an account or using any part of the MyBase platform ("Platform"), you ("User") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use the Platform. MyBase is operated by a company incorporated under Algerian law ("MyBase", "we", "us"). These Terms constitute a binding legal agreement between you and MyBase.

2. Description of Services

MyBase provides a digital business operating system that facilitates:

• Online company formation for Algerian legal structures (EURL, SARL, SNC, Entreprise individuelle).
• Guided legal quiz to determine the most appropriate structure for your business.
• Identity verification (KYC) and document collection for government submission.
• Coordination with licensed notaries for Statuts drafting and procuration.
• Electronic submission of dossiers to the CNRC, DGI, CNAS, CASNOS, and other Algerian authorities.
• Secure Document Vault for storing and retrieving official company documents.
• Compliance calendar, deadline tracking, and regulatory notifications.
• Remote formation support for diaspora entrepreneurs outside Algeria.

MyBase acts as a technology intermediary and facilitator. We are not a law firm and do not provide legal advice. For complex legal matters, you should consult a qualified Algerian lawyer.

3. Eligibility

You must be at least 19 years of age (the age of legal majority in Algeria) to use the Platform. By registering, you represent that all information you provide is accurate, complete, and truthful. MyBase reserves the right to refuse service, suspend, or terminate accounts where information is found to be false or misleading.

4. Account Security

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Multi-factor authentication (MFA) is mandatory for all accounts. You must notify us immediately at security@mybase.dz if you suspect any unauthorised access to your account. MyBase will not be liable for losses resulting from unauthorised access caused by your failure to safeguard your credentials.

5. Fees and Payment

Fees for our services are displayed on the Platform before you commit to any purchase. All fees are quoted in Algerian Dinars (DZD) and are inclusive of applicable taxes unless stated otherwise. Fees cover:

• Platform service fees for processing and coordinating your formation dossier.
• Official government fees (timbre fiscal, CNRC registration fees) paid on your behalf where applicable.
• Notary coordination fees where procuration or Statuts preparation is required.

Payments are non-refundable once a dossier has been submitted to a government authority, except where MyBase is solely at fault for a processing error. Refund requests must be submitted within 14 days of payment.

6. User Obligations

You agree to:

• Provide accurate, complete, and up-to-date information at all times.
• Upload only genuine, unaltered documents for KYC and government submission.
• Not use the Platform for any unlawful purpose, including money laundering, tax evasion, or fraud.
• Not attempt to reverse-engineer, scrape, or circumvent any security measure of the Platform.
• Comply with all applicable Algerian laws and regulations in connection with your use of the Platform.
• Promptly respond to requests for additional information or documents required by authorities.

7. Government Processing Times

MyBase provides estimated timelines for company formation based on typical government processing times. These are estimates only. MyBase has no control over the processing speed of the CNRC, DGI, notary offices, or any other Algerian authority. We are not liable for delays caused by government backlogs, changes in regulations, incomplete submissions attributable to the User, or force majeure events.

8. Intellectual Property

All content, software, trademarks, logos, and design elements on the Platform are the exclusive property of MyBase or its licensors and are protected by Algerian intellectual property law. You may not reproduce, distribute, or create derivative works from any Platform content without our prior written consent.

9. Limitation of Liability

To the fullest extent permitted by Algerian law, MyBase shall not be liable for: (a) indirect, incidental, or consequential damages; (b) loss of profits or business opportunities; (c) decisions made based on information provided through the Platform; (d) acts or omissions of third-party government authorities, notaries, or payment processors. Our total aggregate liability for any claim shall not exceed the amount you paid to MyBase in the 3 months preceding the claim.

10. Suspension and Termination

MyBase may suspend or terminate your account immediately and without notice if you breach these Terms, provide fraudulent information, or engage in conduct that threatens the Platform's integrity or other users. Upon termination, your access to the Platform will cease. Provisions regarding payment obligations, intellectual property, and limitation of liability survive termination.

11. Modifications to the Service

MyBase reserves the right to modify, suspend, or discontinue any part of the Platform at any time. We will provide reasonable advance notice for material changes that affect ongoing formation processes. We are not liable to you for any modification, suspension, or discontinuation of services.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the Platform at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes your acceptance of the revised Terms.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the People's Democratic Republic of Algeria. Any dispute arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of Algiers, Algeria.
